1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you and Tree of Insights, LLC ("TOFI-VDMA," "we," "us," or "our"). By using our website or services, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding agreements to use our services. Panel membership is restricted to qualified US-based IT decision-making professionals, subject to our verification process.

3. Panel Member Terms

Accuracy of Information

You agree to provide accurate, current, and complete information during registration and throughout your membership. Misrepresentation of your professional credentials, role, or employer is grounds for immediate removal from the panel.

Research Participation

• Participation in individual studies is always voluntary
• You must complete studies honestly and in good faith
• You may not share study content, survey instruments, or research materials with third parties
• Honoraria are paid only for fully completed, quality responses

Confidentiality

Research studies may involve confidential information about client products, strategies, or business plans. By accepting a study invitation, you agree to treat all study-related content as confidential and not to disclose it externally.

4. Research Buyer Terms

Clients engaging TOFI-VDMA for research services agree to: use aggregated research outputs only for lawful purposes; not attempt to identify individual panel members from research data; comply with all applicable data protection and market research standards; and pay agreed fees on the schedule provided in the applicable service agreement.

5. Intellectual Property

All content on tofi-vdma.online, including design, text, and methodology, is the property of Tree of Insights, LLC and is protected by copyright. Research reports and deliverables provided to clients are licensed for internal business use only and may not be resold or republished without written consent.

6. Prohibited Uses

• Using the platform for any unlawful purpose
• Attempting to reverse-engineer or identify research respondents
• Submitting fraudulent or fictitious applications
• Interfering with the security or operation of the platform
• Harvesting personal data from the platform

7. Termination

We reserve the right to suspend or terminate access to our services at our discretion, including for breach of these Terms, provision of inaccurate information, or conduct that threatens the integrity of the panel.

8. Disclaimers

The TOFI-VDMA platform and services are provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted availability of services or that panel feasibility for any given study will be confirmed.

9. Limitation of Liability

To the maximum extent permitted by law, Tree of Insights, LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the platform or services, even if advised of the possibility of such damages.

10. Governing Law

These Terms shall be governed by the laws of the United States and the state of incorporation of Tree of Insights, LLC, without regard to conflict of law provisions.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to registered members via email. Continued use of the platform after such changes constitutes acceptance of the updated Terms.
